Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the www.founderos.com website (the "Service") operated by Gray Management Consultancy LLC ("us", "we", or "our"). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.

Communications

By creating an Account on our service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send or by contacting us at support@founderos.com. For text messages, reply STOP to any message to opt-out. Opt-out requests will be honored within 10 business days.

Purchases

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete. The service may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy. We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons. We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Refund Policy

Digital products and services are non-refundable once the product or service has been delivered. If you are unsatisfied with a product or service, please contact us at support@founderos.com within 30 days of purchase to discuss potential remedies. We may, at our sole discretion, offer a refund, replacement, or credit on a case by case basis. Any refunds will be issued to the original payment method within 10 business days of an approved refund request.

Subscription

Billing Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly basis. At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Gray Management Consultancy LLC cancels it. You may cancel your Subscription renewal by contacting Gray Management Consultancy LLC customer support at support@founderos.com. A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide Gray Management Consultancy LLC with accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Gray Management Consultancy LLC to charge all Subscription fees incurred through your account to any such payment instruments. Should automatic billing fail to occur for any reason, Gray Management Consultancy LLC will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

IMPORTANT NOTICE ABOUT RECURRING CHARGES: By purchasing a subscription product or service, you agree that your subscription will be automatically renewed at the end of each billing period until you cancel. Your account will be charged the subscription rate plus applicable taxes each billing period until cancellation. You may cancel at any time by logging into your account or contacting support@founderos.com. If you cancel, you will continue to have access for the remainder of the current billing period but will not be entitled to a refund of any portion of the fee.

Fee Changes

Gray Management Consultancy LLC, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Gray Management Consultancy LLC will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

User Conduct

You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links and other content or materials (collectively, "Content") that you submit, post or display on or via the Service. You agree not to provide infringing, obscene, threatening, or otherwise unlawful or offensive Content. You may not use the Service for any illegal or unauthorized purpose, or violate any laws (including intellectual property laws and privacy laws).

Third-Party Services

We may display, include or make available third-party content (including data, information, applications and other products services and/or materials) or provide links to third-party websites or services ("Third-Party Services"). You acknowledge and agree that Gray Management Consultancy LLC shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, legality, decency, quality or any other aspect thereof. Dispute Resolution

The arbitration will be conducted in the English language in Orlando, Florida. The arbitrator may award money damages but shall not have the authority to award punitive damages. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The parties shall maintain the confidential nature of the arbitration proceeding and the award, including the hearing, except as may be necessary to prepare for or conduct the arbitration hearing, or except as may be necessary in connection with a court application for a preliminary remedy, a judicial challenge to an award or its enforcement, or unless otherwise required by law or judicial decision. The arbitrator shall award the prevailing party its reasonable attorneys' fees and expenses.

Indemnification
